Can I get a tax certificate for this investment?

IT3b certificates will be issued on an annual basis.

Do I get a share certificate for this investment?

Yes. All investors will be added to the share register of the company, and will have a certificate issued within two days of the payment reflecting. Investors that invest on a monthly subscription basis, will have be added to the share registered every 6-months, or as earlier where needed, at which stage a share certificate will be issued.

What is the process & costs if I want to sell my shares?

Any requests to sell shares, whether you have a willing buyer or need one, must be send to Jonatan (jonatan@venturist.co.za). Such offer will first be made available to the company (for a buy-back) or existing shareholders. If there is no willing buyer, a willing buyer can be found o.b.o. the shareholder at a 5% commission. All share sales will in addition attract a once-off administration fee of R1000 to the seller.

How are new investments acquired by Venturist Grow?

New investments are typically found and prepared by the founders and management in the different Venturist Group companies. They are paid for their work by the investment, which is included in the total capital costs of the investments. They typically “sell” a ready investment to Venturist Grow.

Anyone can send or prepare proposals to be considered to Jonatan to be reviewed.

All investments are thoroughly analyzed by the board and selected individuals/shareholders who may have experience relating to the investment. All investments will also be posted on the website for comment by all shareholders.

Is there an opportunity for more active involvement by shareholders?

Any shareholder or investor that wishes to be more involved may contract Jonatan with such a proposal. A role or involvement cannot be guaranteed, but will be considered.

How do I apply and what procedure follow the application?

You need to fill in the application form (See attached below) and send it to Jonatan Slabbert (jonatan@venturist.co.za). If you have any questions beforehand, you can ask him or request a meeting with him.

Once your application have been submitted, it will be presented for approval on the next board meeting. Once approved (Most likely the case), you will be informed of the decision and will also be provided with a Shareholders Agreement and Share Subscription Agreement to sign.

Once these agreements have been signed by all parties, you will be provided with the signed copies and proceed to transfer the funds to be invested into Venturist’s bank account. As soon as the funds has been received, you will be presented with a Share Certificate, except in the instance of monthly subscriptions, where a share certificate will only be issued later, as the funds are turned into equity.

Who are in charge of the operational management of the company?

Jonatan Slabbert is in charge of all operational aspects of Venturist Grow and most of the underlying companies. Administrative work is being outsourced to Knowble and other companies as is required. Each new investment will attract a team that forms part to prepare/initiate the investment (E.g. With the Arendnes flats, a team of people is involved who are commonly working in construction).

Do the directors of Venturist Grow also invest in the company?

All the directors in Venturist Grow invest in the company, and are currently of the largest shareholders in the company. The directors are Jonatan Slabbert, Mark Floor and Bart Hulsman.
